Terms of Service

These Terms explain the general conditions for using the SENTI LAB website and engaging our website, software, application, and digital development services.

Effective date: August 3, 2026

1. Acceptance of Terms

By accessing the SENTI LAB website, submitting a project inquiry, requesting a quotation, approving a proposal, or engaging our services, you agree to these Terms of Service.

A project-specific quotation, proposal, or signed service agreement may contain additional or different terms. If there is a conflict, the signed project agreement will control for that project.

2. Services

SENTI LAB may provide services including:

  • Website design and development
  • Website redesign
  • Custom web systems
  • Mobile application development
  • E-commerce development
  • Business automation
  • Dashboards and management systems
  • Domain and hosting configuration
  • Maintenance and technical support
  • Related digital development services

The exact deliverables for each project will be identified in the approved quotation, proposal, scope document, or service agreement.

3. Estimates and Quotations

Prices shown by the website calculator are initial estimates only and do not constitute a final offer or binding quotation.

Final pricing may depend on the approved features, number of pages or screens, technical complexity, integrations, content requirements, timeline, and other project conditions.

A quotation remains valid only for the validity period stated in that quotation.

4. Project Approval and Initial Payment

Development begins only after:

  • The client approves the project scope
  • The payment terms are accepted
  • The required initial payment has been received
  • Necessary project materials have been submitted

Unless otherwise stated in the project agreement, SENTI LAB requires a 30% initial payment before development begins.

The initial payment reserves development time and covers planning, setup, design, and initial development work.

5. Remaining Balance

Unless a different milestone plan is written in the project agreement, the remaining 70% balance becomes due when:

  • The agreed project features are substantially completed
  • A working version is available for client review and testing
  • Material issues within the agreed scope have been addressed

Final payment must be completed before:

  • Production deployment
  • Source-code release
  • Administrator credential transfer
  • Domain or hosting account transfer
  • Release of final downloadable project files
  • Final project turnover

6. Refunds and Cancellation

Unless otherwise required by law or stated in a signed agreement, initial payments are generally non-refundable after work has started because they cover reserved time, planning, design, setup, and development already performed.

If the client cancels a project, the client remains responsible for fees corresponding to work already completed and approved third-party expenses already incurred.

If SENTI LAB is unable to begin or continue the project for reasons within our control, we will assess the work completed and determine an appropriate refund or resolution.

7. Project Timeline

Any project timeline is an estimate unless expressly guaranteed in writing.

Timelines may change because of:

  • Late submission of client materials
  • Delayed feedback or approvals
  • Changes to the project scope
  • Third-party service delays
  • Technical issues outside our control
  • Events beyond reasonable control

The client agrees to provide timely responses, approvals, content, and access needed to complete the project.

8. Revisions

Reasonable revisions may be included as stated in the quotation or project agreement.

A revision means an adjustment to work already included in the approved scope. It does not include a new feature, major redesign, new page, new integration, or change in project direction.

Additional revisions or work outside the approved scope may require a revised quotation, additional payment, and extended timeline.

9. Scope Changes and Additional Work

Any feature, page, function, integration, or design request not included in the approved scope is considered additional work.

SENTI LAB may provide a change request, revised quotation, or updated timeline before beginning the additional work.

10. Client Responsibilities

The client is responsible for:

  • Providing accurate project information
  • Providing necessary content and materials
  • Reviewing work and responding promptly
  • Obtaining permission for all content, images, trademarks, logos, and materials supplied
  • Ensuring that the requested project and content comply with applicable laws
  • Keeping account credentials secure
  • Making payments according to agreed milestones

11. Ownership and Intellectual Property

Until full payment is received, all project files, source code, designs, drafts, and deliverables created by SENTI LAB remain under the control and ownership of SENTI LAB.

After full payment, ownership or usage rights for the final custom deliverables will be transferred according to the written project agreement.

SENTI LAB retains ownership of:

  • Pre-existing tools and reusable components
  • General programming knowledge and methods
  • Internal frameworks and templates
  • Third-party components governed by their own licenses

The client retains ownership of content, branding, logos, and materials legally supplied by the client.

12. Portfolio Rights

Unless confidentiality or a written restriction is agreed upon, SENTI LAB may display the completed project, public screenshots, client name, and a general project description in our portfolio and marketing materials.

We will not publicly disclose passwords, private business records, confidential data, source code, customer information, or restricted internal information.

13. Domain, Hosting, and Third-Party Costs

Domain registration, web hosting, premium plugins, paid APIs, payment gateways, SMS fees, email services, app-store fees, and other third-party services are not included unless specifically stated in the quotation.

Third-party subscriptions and renewals may be paid directly by the client or billed separately.

SENTI LAB is not responsible for outages, price changes, account suspension, policy changes, or service termination caused by third-party providers.

14. Testing and Acceptance

The client will be given a reasonable opportunity to review and test the working project before final turnover.

The client must report material issues relating to the agreed scope within the review period specified in the project agreement or communication.

New features or preferences requested during testing may be considered additional work.

15. Deployment and Turnover

Final deployment and turnover occur after all required payments have been received and the client has provided the necessary accounts, approvals, and access.

Turnover may include items specified in the project agreement, such as:

  • Live website or application deployment
  • Administrator credentials
  • Source files or source code when included
  • Basic documentation
  • Approved account or domain transfer

16. Support and Maintenance

Any included post-launch support period will be stated in the quotation or project agreement.

Support generally covers correction of reproducible defects within the original agreed scope. It does not automatically include:

  • New features
  • Content updates
  • Redesign requests
  • Third-party service changes
  • Issues caused by unauthorized modifications
  • Ongoing hosting or server management

Continuing maintenance may require a separate maintenance plan or quotation.

17. No Guaranteed Business Results

SENTI LAB will perform services with reasonable professional care, but we do not guarantee specific sales, revenue, search-engine rankings, customer growth, downloads, traffic, or other business outcomes unless expressly agreed in writing.

18. Limitation of Liability

To the extent permitted by applicable law, SENTI LAB will not be responsible for indirect, incidental, special, or consequential losses resulting from the website, services, third-party providers, client actions, unauthorized modifications, or events outside our reasonable control.

Nothing in these Terms excludes liability that cannot legally be excluded.

19. Prohibited Projects and Uses

SENTI LAB may reject, suspend, or terminate projects involving:

  • Illegal activities
  • Fraud, impersonation, or deception
  • Unauthorized access or malicious software
  • Harassment or exploitation
  • Infringement of intellectual-property rights
  • Unlawful collection or sale of personal data
  • Content or functionality that violates applicable law or third-party policies

20. Confidentiality

Both parties should protect confidential project information received during the engagement and use it only for legitimate project purposes.

Additional confidentiality requirements may be documented in a separate nondisclosure agreement.

21. Suspension or Termination

SENTI LAB may pause or terminate work when:

  • Required payments are overdue
  • The client becomes unresponsive
  • Necessary project materials are not provided
  • The scope or requested use becomes unlawful
  • The client materially violates the project agreement

Any outstanding amount for completed work and approved expenses remains payable.

22. Governing Law

These Terms are governed by the laws of the Republic of the Philippines.

The parties should first attempt to resolve disputes through good-faith communication. Any venue or dispute-resolution procedure may be further defined in the signed project agreement.

23. Changes to These Terms

SENTI LAB may update these Terms as our services, practices, or legal requirements change.

Changes will apply from the effective date displayed on this page and will not override an existing signed agreement unless both parties agree.
